Terms of Service

These Terms apply to Suparagent hosted accounts and related websites and services, operated by Vadoo Internet Services Private Limited (“Vadoo,” “we,” “us,” or “our”). By creating an account or using the hosted service, you agree to these Terms. Separately installed Open Dots software is governed by the license included with that software.
1. Eligibility and your account
You must be at least 18 years old and able to enter into a contract to use the hosted service. Give us accurate account information, keep your sign-in details secure, and tell us promptly if you suspect unauthorized access. You are responsible for activity performed through your account and for protecting credentials you connect to your workspace.
2. The hosted service and third-party providers
Suparagent gives each hosted account an agent workspace and sandbox computer. You choose the AI engine and connected services. Their products, availability, output and data practices are controlled by their own providers and terms. You remain responsible for any separate AI-provider charges.
The free preview uses a Boat API key you provide; Boat bills its compute charges to you. Paid plans use compute operated by Vadoo. Current plan prices, included running hours and machine profiles are shown on the pricing and checkout pages. Machine disk capacity is the disk attached to the selected computer, not a separate storage quota.
3. Subscriptions, usage and cancellation
Paid subscriptions renew monthly and are charged in advance through Stripe until canceled. You authorize the recurring charge shown at checkout. Stripe processes payment details under its own terms and privacy policy. We receive subscription and transaction information needed to provide the service; we do not receive your full card number.
Included compute hours are measured as wall-clock time while the service-operated sandbox is running, including idle time. At the plan limit, the sandbox may be stopped and remain unavailable until the allowance renews or your subscription changes. We do not charge compute overages. Plan limits and machine profiles are part of the plan shown at checkout.
You can cancel from your account billing page. Cancellation stops future renewals and normally takes effect at the end of the current paid period. Monthly subscription fees are not refundable after that period begins, and we do not prorate unused time, except where applicable law requires otherwise. 4. Your content and permissions
You retain rights to the content you submit and the outputs you receive, subject to third-party rights and provider terms. You give Vadoo permission to host, store, transmit and process that content only as needed to provide, secure and support the service and meet legal obligations. Vadoo and its licensors retain rights to the hosted service, branding and software, subject to open-source licenses that apply to included components.
Agent output can be incomplete, incorrect or unsuitable, and may resemble output generated for others. Review results before relying on them. You are responsible for the tasks you assign, the content you provide, the accounts you connect, the permissions you grant and the actions you approve or configure.
5. Acceptable use
Use the service lawfully and only with content and accounts you are authorized to use. Do not use it to harm, harass, threaten or impersonate others; create or distribute unlawful or non-consensual sexual content; produce malware or facilitate violence; infringe rights; conduct unauthorized surveillance; make high-impact decisions about people without required safeguards; bypass security controls; or interfere with the service or other users.
6. Sandbox availability and your files
The hosted workspace depends on third-party infrastructure. Sandboxes can stop, wake slowly, or be unavailable, and a provider may refuse a requested size change. We do not promise uninterrupted service or permanent file storage. When a paid plan expires or its allowance is used, a service-operated sandbox may stop and may not wake without a current entitlement. We do not automatically move a paid workspace to a customer-funded preview. Export files you need before cancellation, deletion or the end of a provider retention period.
7. Suspension, termination and account deletion
You may stop using the service and request account deletion from your account settings. We may restrict or suspend access when needed to protect users, investigate misuse, address a security issue, collect an overdue amount or comply with law. Deleting a paid account cancels its active subscription before account records and its hosted sandbox are removed. Some financial, security or backup records may remain for the periods described in our Privacy Policy or required by law.
8. Disclaimers and liability
To the extent permitted by law, the hosted service is provided “as is” and “as available.” We do not warrant that it will be uninterrupted, error-free, secure in every circumstance, or suitable for a particular purpose. AI outputs are not professional advice and should be checked by a person before consequential use.
To the extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss. Vadoo’s total liability for claims relating to the hosted service is limited to the amount you paid Vadoo for that service in the six months before the event giving rise to the claim or US $100, whichever is lower. Nothing in these Terms limits liability that applicable law does not allow us to limit.
9. Indemnity
To the extent permitted by law, you are responsible for claims and costs arising from your unlawful use of the service, content you submit, rights you infringe, or material breach of these Terms. This does not apply to the extent a claim was caused by Vadoo’s own breach or misconduct.
10. Changes and governing law
We may update these Terms as the service changes or the law requires. For a material change, we will update the date on this page and provide notice through the service or by email where appropriate. Unless applicable law requires otherwise, these Terms are governed by the laws of India, and courts in Bengaluru, Karnataka have jurisdiction over disputes relating to them.
